End-User License Agreement (EULA) for cipherscale Application

This End-User License Agreement ("Agreement") is a legal contract between you ("User" or "You") and cipherscale ("Company", "We", or "Us") for the use of cipherscale Application ("Software"). By installing, accessing, or using the Software, you agree to be bound by the terms of this Agreement.

1. License Grant

The Company hereby grants you a personal, non-exclusive, non-transferable, revocable license to use the Software on your devices in accordance with the terms of this Agreement.

2. Permitted Use

You may use the Software for personal or business purposes on devices under your control. You are responsible for ensuring your device meets the minimum requirements for the Software.

3. Restrictions

You are not permitted to:

  • Modify, reverse engineer, decompile, or disassemble the Software
  • Distribute, resell, or sublicense the Software
  • Use the Software for any illegal activities
  • Attempt to circumvent the Software's security measures
  • Use the Software in any way that violates applicable laws or regulations

4. Intellectual Property

The Company retains all rights, title, and interest in the Software, including all intellectual property rights. This Agreement does not grant you any rights to patents, copyrights, trade secrets, trademarks, or any other rights in respect to the Software.

5. Privacy and Data Collection

The Software may collect and transmit certain data as described in our Privacy Policy. By using the Software, you consent to such data collection and transmission.

6. Disclaimer of Warranty

The Software is provided "as is" without warranty of any kind. The Company disclaims all warranties, whether express or implied, including but not limited to merchantability and fitness for a particular purpose.

7. Limitation of Liability

To the maximum extent permitted by law, the Company shall not be liable for any indirect, incidental, special, consequential, or punitive damages, or any loss of profits or revenues.

8. Open Source Software

The Software may be accompanied by software components subject to Open Source License Terms, including without limitation the software components set forth in Exhibit 1. This Agreement does not apply to any software components that are subject to Open Source License Terms.

Your license rights under this Agreement do not include any right or license to use, distribute or create derivative works of the Application in any manner that would subject the Application to Open Source License Terms.

"Open Source License Terms" means terms in any license that require as a condition of use, modification and/or distribution of a work

  1. the making available of source code or other materials preferred for modification, or
  2. the granting of permission for creating derivative works, or
  3. the reproduction of certain notices or license terms in derivative works or accompanying documentation, or
  4. the granting of a royalty-free license to any party under intellectual property rights regarding the work and/or any work that contains, is combined with, requires or otherwise is based on the work.

9. Updates and Upgrades

The Company may provide updates or upgrades to the Software. These updates or upgrades may be automatic and subject to additional terms.

10. Termination

This Agreement is effective until terminated. Your rights under this Agreement will terminate automatically without notice if you fail to comply with any of its terms. Upon termination, you must cease all use of the Software and destroy all copies.

11. Governing Law

This Agreement shall be governed by and construed in accordance with the laws of United States of America, without regard to its conflict of law provisions.

By installing or using the Software, you acknowledge that you have read this Agreement, understand it, and agree to be bound by its terms and conditions.
